Confidentiality, Non-Disclosure, and Non-Compete Agreement

Section Title

This Confidentiality, Non-Disclosure, and Non-Compete Agreement ("Agreement") outlines the terms and conditions associated with participation in the Mesh Integration Training Course. By enrolling in this course, the Participant agrees to abide by all terms stated herein. This agreement is entered into by and between:

Educators:

Kelly Maxwell and Emmy Hassan, collectively operating under the brand Elevate Mesh Integration

("Educators"),

and

Participant:

Enrollee

Collectively referred to as the "Parties."

 

1. Purpose
Educators have developed a proprietary training program and methodology for Mesh Integration (the "Training Program"). In consideration for participation in the Training Program, the Participant agrees to the following terms to protect the Educators' intellectual property and proprietary information.

 

2. Confidential Information
For the purposes of this Agreement, "Confidential Information" shall include, but is not limited to: Training materials, techniques, systems, and methodologies; Application and installation methods; Business models, pricing structures, and client processes; Trade secrets, terminology, video content, photography, written guides, and supplier/vendor information; Any information disclosed verbally, visually, digitally, or in writing during the Training Program. The Participant agrees not to disclose, reproduce, or share any Confidential Information with any third party, in any form, without prior written consent from the Educators.

 

3. Intellectual Property Ownership
All materials provided or presented by Educators, including but not limited to course content, documentation, written instructions, videos, diagrams, images, branding, and proprietary methods, are and shall remain the exclusive intellectual property of the Educators.

The Participant acknowledges that they have no ownership, license, or interest in the Intellectual Property and shall not claim authorship or rebrand any part of the method or materials.

 

4. Non-Compete & Non-Teaching Covenant
The Participant agrees that for a period of five (5) years from the Effective Date, they shall not: Teach, instruct, or otherwise train any person, group, or entity in any of the methods ortechniques taught in the Training Program; Develop, offer, promote, or sell any course, training, or educational content that is derived from,inspired by, or substantially similar to the Training Program;
Represent themselves as an originator or creator of the methods taught by the Educators.
This covenant is international in scope and applies whether such activity is done in person, online, or through any digital platform or medium.


5. Prohibited Use
The Participant shall not replicate, reverse engineer, translate, distribute, or adapt any material or method from the Training Program for the purpose of commercial gain or redistribution.

 

6. Digital Footprint & Online Distribution
The Participant agrees not to record, screenshot, screen-share, upload, or distribute any portion of the Training Program-including but not limited to video calls, training portals, downloads, course materials, and demonstrations-on any public or private online platform, including but not limited to social media, YouTube, forums, shared drives, or messaging apps.

The Participant acknowledges that all digital content is watermarked and traceable, and any unauthorized sharing will result in immediate legal action.

 

7. Media Use Restriction
The Participant agrees not to use before-and-after photos, marketing language, technique descriptions, or visual representations derived from the Training Program in a way that falsely suggests ownership or authorship of the method.

This includes-but is not limited to-using course-related visuals or language to promote services or training under a different brand, business name, or method title that mimics or misrepresents the original work.

 

8. Certification & Usage Clause
Upon successful completion of the Training Program, the Participant may receive certification. Certification is conditional and revocable. The Participant may not use the Educators' name, brand, logo, or method name (e.g., "Elevate Certified," "Certified Mesh Integrationist," etc.) in any business promotion, content, or bio without continued compliance with this Agreement.

The Educators reserve the right to revoke certification at any time if any terms of this Agreement are violated.

 

9. Remedies
The Participant agrees that breach of this Agreement may result in irreparable harm to the Educators. In the event of such breach, the Educators shall be entitled to:

Injunctive relief to prevent further violation;
Recovery of monetary damages, including attorney fees and costs;
Revocation of certification and termination of access to any course materials.

 

10. Governing Law & Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina. Any dispute arising out of or relating to this Agreement shall be brought exclusively in a court of competent jurisdiction located in North Carolina

 

11. Entire Agreement
This Agreement constitutes the entire agreement between the Parties regarding the subject matter hereof and supersedes all prior understandings, whether oral or written. No amendment or modification of this Agreement shall be valid unless made in writing and signed by both Parties.

 

12. Acknowledgment
By signing below, the Participant acknowledges that they have read, understood, and voluntarily agreed to the terms and conditions of this Agreement.
